5. Ordering, Pricing, and Payment Terms

5.1 Order Placement and Acceptance

When you place an order through our Website, you are submitting an offer to purchase food products from Imos Pizza. All orders are subject to our acceptance. We reserve the right to refuse or cancel any order at any time for reasons including but not limited to: unavailability of menu items, inaccuracies in pricing or product information, suspected fraud, or inability to process payment.

An order is confirmed only when you receive an order confirmation via email or on-screen notification. Until that confirmation is received, no binding contract for the purchase of food products has been formed between you and Imos Pizza.

5.2 Pricing

All prices listed on the Website are in United States Dollars (USD) and are subject to change without notice. Prices displayed at the time of your order placement are the prices you will be charged, subject to any applicable taxes, delivery fees, and other charges disclosed prior to checkout.

While we make every effort to ensure pricing accuracy, we reserve the right to correct any errors in pricing, even if an order has already been placed. In the event of a pricing error, we will contact you and offer you the option to proceed with the corrected price or cancel your order.

5.3 Payment

We accept various forms of payment as indicated on our Website, which may include major credit cards, debit cards, and other electronic payment methods. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize us to charge your payment method for the total amount of your order, including all applicable taxes and fees.

All payment transactions are processed through secure third-party payment processors. We do not store complete credit card or debit card information on our servers. Your financial information is subject to the privacy policy and terms of service of the applicable payment processor.

5.4 Taxes

You are responsible for all applicable sales taxes, use taxes, and other governmental charges associated with your purchases. We will collect and remit applicable sales taxes in accordance with federal and state tax laws.

5.5 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. If you experience a quality issue with your order, please contact us promptly at [email protected]. We will evaluate each complaint on a case-by-case basis and may offer a replacement, credit, or refund at our sole discretion. Orders may only be cancelled prior to preparation. Once food preparation has begun, cancellations may not be accepted.

6. Intellectual Property Rights

All content available on the Website, including but not limited to text, graphics, logos, images, photographs, menu descriptions, video clips, audio files, data compilations, software, and the overall design and layout of the Website (collectively, "Content"), is the exclusive property of Imos Pizza or its licensors and is protected by applicable United States and international intellectual property laws, including copyright, trademark, trade dress, and other proprietary rights.

The Imos Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Imos Pizza or its affiliates. You may not use any of our trademarks without our prior written permission. All other trademarks, service marks, and trade names not owned by Imos Pizza that appear on the Website are the property of their respective owners.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website solely for your personal, non-commercial purposes. This license does not include the right to:

  • Reproduce, distribute, publicly display, or create derivative works from any Content;
  • Use any Content for commercial purposes or for any public display without our prior written consent;
  • Remove or alter any copyright, trademark, or other proprietary notices from the Website or its Content;
  • Transfer the license to any other person or "mirror" any Content on any other server.

Any unauthorized use of the Content may violate copyright laws, trademark laws, privacy and publicity laws, and applicable regulations and statutes. We reserve all rights not expressly granted in these Terms.

7. Disclaimers and "As-Is" Basis

THE WEBSITE AND ALL CONTENT, SERVICES, PRODUCTS, AND FEATURES PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IMOS PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE WEBSITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS.

We do not warrant that the results obtained from the use of the Website will be accurate or reliable. Menu items may contain allergens, and while we make reasonable efforts to provide allergen information, we cannot guarantee the complete absence of any specific allergen in any menu item due to the shared cooking environment. Customers with severe food allergies are strongly advised to contact us directly before placing an order.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations and exclusions may not apply to you to the extent prohibited by applicable law. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Imos Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

We shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of any third-party website, content, goods, or services available on or through any such website.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by this reference. By using our Website and services, you consent to the collection and use of your personal information as described in our Privacy Policy.

As a business operating in the United States, we comply with applicable federal and state privacy laws, including the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in commerce, and applicable state privacy laws. Residents of California may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA).

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Imos Pizza is registered and operates, without regard to its conflict of law provisions or choice of law rules.

Subject to the Dispute Resolution provisions in Section 13 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website shall be brought exclusively in the federal or state courts located within the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms shall be interpreted in accordance with applicable United States federal law and state law, including consumer protection statutes enforced by the Federal Trade Commission under the FTC Act (15 U.S.C. ยง 45), and any other applicable federal and state regulations governing food service businesses and electronic commerce.

13. Dispute Resolution

13.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, your use of our Website, or any order placed through our Website, we encourage you to first contact us directly to seek an informal resolution. Please send a written description of your dispute to [email protected]. We will make good-faith efforts to resolve the dispute informally within thirty (30) calendar days of receiving your notice.

13.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitral award shall be final and binding upon both parties.

The arbitration shall take place in the United States, in the state where Imos Pizza is located or in the county of your residence, as mutually agreed. The arbitrator shall have the authority to award any remedy that would be available in a court of competent jurisdiction. The costs of the arbitration shall be allocated as determined by the arbitrator in accordance with applicable rules.

13.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST IMOS PIZZA.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction in order to prevent irreparable harm pending the resolution of a dispute through arbitration. Claims for intellectual property infringement shall not be subject to arbitration and may be brought in a court of competent jurisdiction.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you continue to access or use the Website or our services. We reserve the right, at our sole and absolute discretion, to:

  • Suspend or terminate your access to the Website and/or your account at any time, with or without cause and with or without notice;
  • Refuse service to any person for any reason not prohibited by applicable law;
  • Remove, edit, or disable any content or account at any time for any reason.

Grounds for termination may include, without limitation: violation of any provision of these Terms; fraudulent, deceptive, or illegal conduct; failure to pay for services; engaging in conduct that is harmful to us, our customers, employees, or other third parties; or any other reason we deem appropriate in our sole discretion.

Upon termination of your account or access rights, you must immediately cease all use of the Website. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation: intellectual property rights provisions, warranty disclaimers, indemnification obligations, limitations of liability, governing law, and dispute resolution provisions.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Please note that termination of your account does not affect any obligations you may have incurred prior to termination, including outstanding payment obligations.

15. Changes to These Terms

We reserve the right, in our sole discretion, to modify, update, amend, or revise these Terms at any time. When we make material changes to these Terms, we will:

  • Update the "Last Updated" date at the top of this page;
  • Post the revised Terms on the Website with the updated effective date;
  • Where required by applicable law or where we deem appropriate, provide you with additional notice, such as by sending an email to the address associated with your account or by displaying a prominent notice on the Website.

Your continued use of the Website or our services following the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you must discontinue your use of the Website and our services immediately.

No modification of these Terms by you shall be valid or binding unless made in a written agreement signed by an authorized representative of Imos Pizza.

16. Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect or impair the validity, legality, and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

The parties agree that any invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely approximates the intent and economic effect of the original provision. The failure of Imos Pizza to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision, nor shall it constitute a waiver of any future enforcement of such right or provision.

17. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and Imos Pizza concerning your use of the Website and our services. These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and Imos Pizza with respect to the subject matter hereof.

No waiver of any term, provision, or condition of these Terms shall be deemed a further or continuing waiver of such term, provision, or condition or any other term, provision, or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Force Majeure

Imos Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquake, government actions, labor disputes, supply chain disruptions, internet or telecommunications failures, power outages, civil unrest, war, terrorism, or any other event that is beyond our reasonable control ("Force Majeure Event").

In the event of a Force Majeure Event, we will make reasonable efforts to notify you and to resume performance as soon as reasonably practicable. Our obligations under these Terms will be suspended for the duration of the Force Majeure Event to the extent affected thereby.

19. Electronic Communications

By using our Website and providing your email address, you consent to receive electronic communications from us, including order confirmations, receipts, promotional materials, and other operational communications. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including requirements that communications be in writing.

If you wish to opt out of marketing and promotional communications, you may do so at any time by clicking the "unsubscribe" link in any marketing email we send you, or by contacting us at [email protected].
